Agreement Page
This is the first page of the document and includes the details of the 'parties' to the agreement. There are two parties to a contract and, in this case, they are the Coach and the Client. [Third parties, that is an individual or company who is not party to the contract, are specifically excluded.]
It is assumed in this contract that the Coach is working through a limited company but it can be amended if you are self-employed. The draft also assumes the client is also a limited company but this can be amended for clien's who are individuals. The template is not suitable for corporate sponsorship agreements, for further information click here. The template can easily be changed to suit your needs.
There is a section for the hourly or daily fees or rate that you charge, the start date of the coaching, and two signature boxes.
Terms and Conditions
This section includes, for example:
- Rights and obligations of the coach and client;
- Provision of services;
- Training and qualifications;
- Declining the relationship;
- Type of coaching whether it be face-to-face or via the phone or internet;
- What happens if the client or coach is delayed or cancels the session;
- Re-scheduling sessions;
- What fees are paid on cancellation or late arrival;
- Payment terms;

- Multiple, advanced payments and refund policy;
- Mutuality of obligations;
- Term and Termination;
- Assignment and substitution
- Confidentiality;
- Intellectual property rights;
- Indemnity and liability, and
- Boiler plate clauses including: severability; waiver; law and jurisdiction, etc.
General Terms
This part contains the general legal statements, including what is know as the'bolierplate' clauses. These are standard clauses that youwill seeinevery contract, and they vary very little. They include:
- frustration of the contract (force majeure);
- severability,
- rights of third parties,
- waiver, and
- applicable law and jurisdiction.
Schedule 1 - The Services

This schedule is where you can detail the services that you are giving and any extra points that you and the client agree on.
Schedule 2 - The CoachingSessions
This section is where you can insert the dates, times and duration of the coaching sessions.
